1. Acceptance of Terms
TL;DR
These Terms of Service govern your use of Accordio, operated by Deduxer SRL ("we," "us," "our"). By creating an account or using our services, you agree to be bound by these Terms. We may update these Terms from time to time, and continued use means acceptance of changes.
2. Changes to These Terms
TL;DR
We may update these Terms from time to time. For significant changes, we'll notify you via email or in-app notification at least 14 days before they take effect. Continued use after changes become effective means you accept the updated Terms. If you disagree with changes, you may close your account before they take effect.
3. Who Can Use Accordio
TL;DR
- You must be at least 18 years old
- You must provide accurate and complete account information
- You're responsible for keeping your login credentials secure
- One person or business per account (no sharing accounts)
- You must have legal authority to enter contracts
4. Our Services
TL;DR
Accordio is a freelance operating system that provides:

- AI-powered contract and proposal creation
- Electronic signature collection
- Invoice generation and tracking
- Payment processing and milestone-based escrow (via Stripe)
- Client management and client portal
- Project management
Productivity Features
- Time tracking with AI-powered suggestions
- Task management with focus mode and prioritization
- Productivity dashboard and insights
- AI assistant for business operations and decision-making
Multi-Platform Access
- Web application (app.accordio.ai)
- Desktop app (macOS menubar app for quick access)
- Messaging integrations (Telegram, Slack, WhatsApp)
- Third-party tool integrations (Notion, Todoist, Asana, and more)
5. Pricing & Payments
TL;DR
Starter Plan (Free)
- 2.5% platform fee on each transaction
- 20 AI messages per day
- 5 e-signatures per month
- Standard Stripe processing fees apply
Legend Plan ($29/month)
- Zero platform commission
- 200 AI messages per day
- Unlimited e-signatures
- Standard Stripe processing fees apply
Stripe Fees
Standard Stripe Connect processing fees (typically 2.9% + $0.30 per transaction) are charged by Stripe, not Accordio. Instant payout fees (1.5%) also apply if you choose instant payouts.
Refunds
Subscription refunds are handled case-by-case. Transaction fees are non-refundable once processed. If you need to refund a client, we'll help facilitate through Stripe.
6. Subscription Cancellation & Refunds
TL;DR
Legend Subscription
- You may cancel your Legend subscription at any time from Settings
- Upon cancellation, you retain access until the end of your current billing period
- No partial refunds are provided for unused time in your billing cycle
- Your account reverts to Starter (Free) after the billing period ends
Exceptional Circumstances
If you believe you're entitled to a refund due to service issues or billing errors, contact hi@accordio.ai within 30 days of the charge. We'll review requests on a case-by-case basis.
Starter Plan
The Starter plan is free. Platform fees (2.5%) are non-refundable once a payment has been successfully processed.
7. Your Content & Intellectual Property
TL;DR
Your Content
You retain all rights to the contracts, proposals, invoices, time entries, tasks, and other content you create. We don't claim ownership of your work.
License to Us
You grant us a limited license to store, display, and transmit your content as needed to provide the service (e.g., showing your contract to your client for signing, syncing tasks with connected integrations, processing content through AI features).
Our Content
Accordio's templates, AI-generated suggestions, platform design, and software remain our intellectual property. You can use generated content in your business, but you can't resell our platform, templates, or underlying technology.
8. Acceptable Use
TL;DR
You agree NOT to:
- Use Accordio for illegal activities or fraud
- Create contracts for illegal services or products
- Impersonate others or misrepresent your business
- Attempt to hack, reverse-engineer, or abuse our systems
- Use automation to scrape or overload our service
- Circumvent payment processing or fee structures
- Abuse AI features (e.g., generating harmful, deceptive, or illegal content)
- Use messaging integrations to send spam or unsolicited messages
- Harass or harm other users
- Upload malware, viruses, or harmful code
- Violate others' intellectual property rights
We may suspend or terminate accounts that violate these rules.
9. Electronic Signatures
TL;DR
By using Accordio's e-signature features, you acknowledge that:
- Electronic signatures are legally binding under the US ESIGN Act, UETA, and EU eIDAS Regulation
- For UK users, e-signatures are recognized under the Electronic Communications Act 2000 and UK eIDAS
- We maintain audit trails including timestamps, IP addresses, and signature data
- You have the option to request paper-based signatures if needed
- You're responsible for verifying signers are who they claim to be
10. Payment Processing & Escrow
TL;DR
Stripe Integration
All payment processing is handled by Stripe. By using payment features, you also agree to Stripe's Connected Account Agreement and Stripe's Terms of Service.
Escrow
When clients pay for milestones, funds may be held in escrow until work is approved. Release of escrow requires client approval.
Payouts
Funds are transferred to your connected Stripe account per your payout settings. Payout timing depends on your Stripe account status.
Disputes
Payment disputes (chargebacks) are handled through Stripe's dispute process. We'll provide transaction records to help resolve disputes.
11. AI Features & Assistant
TL;DR
AI-Powered Document Creation
AI generates contracts, proposals, and invoices as a starting point. You are responsible for reviewing, customizing, and ensuring the accuracy and legality of all documents.
AI Assistant (AGI COO)
Accordio's AI assistant helps manage your freelance business. It can:
- Answer questions about your contracts, projects, and finances
- Create and manage documents, tasks, and time entries on your behalf
- Provide business insights, deadline reminders, and proactive suggestions
- Store persistent memories about your preferences and work patterns
- Execute actions across connected integrations when you ask
Your Responsibilities
- AI-generated content is not legal, financial, or tax advice
- Always review AI output before sending to clients or signing
- You’re responsible for the accuracy and legality of final documents
- AI may occasionally produce incorrect or incomplete information
- AI message limits reset daily and don’t roll over between days
- You can view, manage, and delete AI memories at any time
12. Third-Party Integrations
TL;DR
Accordio allows you to connect third-party services to centralize your workflow:
- Integrations are optional and initiated by you
- By connecting a service, you authorize us to access and sync data from that service
- Each integration’s own terms of service and privacy policy also apply
- We are not responsible for the availability, accuracy, or security of third-party services
- You can disconnect any integration at any time from Settings
- We may add, modify, or remove available integrations at any time
Available integrations include Notion, Todoist, Asana, ClickUp, Linear, Trello, and Jira, with more being added over time.
13. Messaging & Desktop App
TL;DR
Messaging Platforms
You can interact with Accordio's AI assistant through Telegram, Slack, or WhatsApp:
- Messages are processed by our AI to respond and execute actions
- These Terms apply to all interactions regardless of platform
- Each messaging platform’s own terms also apply
- We use Twilio for WhatsApp delivery – Twilio’s terms apply
- Don’t send sensitive information (passwords, full card numbers) via messaging
Desktop App
The Accordio desktop app (macOS) provides quick access to AI chat and time tracking:
- The desktop app connects to the same Accordio account and data
- These Terms apply equally to the desktop app
- The app is provided “as is” and may require updates for compatibility
- You may uninstall the app at any time
14. Browser Automation
TL;DR
Certain Accordio plans include browser automation capabilities, allowing the AI assistant to perform web-based actions on your behalf (such as research, data entry, or information retrieval). By using browser automation features, you agree to the following:
- You are responsible for ensuring that any automated actions comply with the terms of service of the third-party websites and services being accessed
- You will not use browser automation to violate any law, regulation, or third-party rights
- You will not use browser automation to scrape, harvest, or collect data in violation of any website’s terms or applicable data protection laws
- Browser automation actions are executed on your behalf and at your direction – you are responsible for the results
- We are not liable for any consequences arising from automated interactions with third-party websites
- We may limit, suspend, or modify browser automation features at any time
Browser automation is provided as a productivity tool. Misuse of this feature (including violating third-party terms of service) may result in suspension of your access to automation features or your Accordio account.
15. Disclaimers
TL;DR
No Legal Advice
Accordio is a document creation, payment, and business management platform. We don't provide legal, financial, or tax advice. For complex contracts or legal questions, consult an attorney.
"As Is" Service
We provide Accordio "as is" without warranties of any kind. We don't guarantee the platform will be error-free or uninterrupted.
Template Limitations
Our templates and AI-generated content are general-purpose starting points. They may not be suitable for all situations or jurisdictions.
16. Limitation of Liability
TL;DR
To the maximum extent permitted by law:
- We're not liable for indirect, incidental, or consequential damages
- Our total liability is limited to fees you've paid us in the past 12 months
- We're not responsible for disputes between you and your clients
- We're not liable for third-party services (Stripe, AI providers, integrations, messaging platforms, etc.)
- We're not liable for actions taken by the AI assistant on your behalf that you authorized
17. Indemnification
TL;DR
You agree to defend and indemnify Accordio against claims arising from your use of the service, your content, your contracts with clients, your use of integrations, or your violation of these Terms.
This indemnification obligation does not apply to the extent prohibited by applicable law, including for consumers in the EU and UK where such obligations may be limited or unenforceable.
18. Account Termination
TL;DR
By You
You can cancel your account anytime from Settings. Export your data first — it will be deleted within 30 days of cancellation. Connected integrations will be disconnected automatically.
By Us
We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity.
Effect
Upon termination, your right to use Accordio ends. Active subscriptions won't be refunded for mid-period cancellations. AI memories, messaging history, and integration connections are deleted.
19. Dispute Resolution
TL;DR
Informal Resolution
Before filing any claim, contact us at hi@accordio.ai. Most issues can be resolved quickly and informally.
Arbitration (US Users)
If informal resolution fails, disputes will be resolved by binding arbitration under AAA rules, not in court (except for small claims court cases). This arbitration agreement applies to users located in the United States.
30-Day Arbitration Opt-Out
You may opt out of the arbitration agreement by sending written notice to hi@accordio.ai within 30 days of creating your account or of these Terms becoming effective (whichever is later), with the subject line "Arbitration Opt-Out." Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts of Delaware, USA.
No Class Actions
You agree to resolve disputes individually, not as part of a class action.
EU/UK Users
If you are a consumer in the European Union or the United Kingdom, the arbitration and class action waiver provisions above do not apply to you. You retain your right to bring claims in the courts of your country of residence. Nothing in this section overrides your mandatory consumer protection rights under EU or UK law. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Governing Law
These Terms are governed by the laws of Delaware, USA, except where overridden by mandatory consumer protection laws of your country of residence (including the EU and UK).
20. EU/UK Consumer Rights
TL;DR
If you are a consumer located in the European Union or the United Kingdom, the following additional protections apply:
- Nothing in these Terms excludes or limits your statutory consumer rights under EU or UK consumer protection law
- Any terms that would be considered unfair under the EU Unfair Contract Terms Directive or the UK Consumer Rights Act 2015 shall not apply to you
- You have the right to bring legal proceedings in the courts of your country of habitual residence
- Mandatory arbitration and class action waivers do not apply to EU/UK consumers
- The limitation of liability in Section 16 applies only to the extent permitted by applicable EU/UK consumer law
- Indemnification obligations in Section 17 apply only to the extent permitted by applicable law
- You may have the right to withdraw from a subscription within 14 days of purchase under EU/UK distance selling rules, unless you have expressly consented to the service beginning immediately and acknowledged the loss of this right
Where these Terms conflict with mandatory EU or UK consumer protection law, the mandatory legal provisions shall prevail.
21. General Provisions
- Entire Agreement — These Terms, plus our Privacy Policy, are the complete agreement
- Severability — If any part is invalid, the rest still applies
- No Waiver — Not enforcing a right doesn't waive it for the future
- Assignment — You can't transfer your account without our consent
- Force Majeure — We're not liable for delays due to circumstances beyond our control
